| UpTick Data Technologies was founded to commercialize our “rules based text
generation” technology which was invented by UpTick founder Tom Elliott during his days as owner and publisher of Research Magazine. After many iterations and
significant improvement in the original technology, Tom set off in 2000 to build a business around this idea. From the outset, UpTick has focused on the financial
services industry and set as our goal helping firms leverage rules based text generation technology — and technology in general — in order to automate the
creation and distribution of client communications. |

| Starting with our first partner, Thomson Financial, we began producing about 100,000 unique monthly mutual fund reports which eventually became the current FundXtra service. From this initial beginning, we have expanded our commentary libraries to support additional investment products including separate account portfolios, retirement plans, equities data and financial markets as well as working with all the major data providers. Through it all, our growth and product enhancements have been driven by our clients and their requests. |

| While our business has progressed significantly beyond commentary generation to include customized reporting and software solutions, we remain true to our original goal of helping clients to improve their client communications through the use of technology with a focus on applications which can benefit from “rules based text generation”. |
